These Terms govern your access to and use of Atelier Studio™, a software platform developed by LB Digital Ventures Inc. doing business as Atelier Digital. If you are using Atelier Studio™ on behalf of a studio, you represent that you have authority to bind that studio.

Acceptance of Terms

By accessing or using Atelier Studio™, a software platform developed by LB Digital Ventures Inc. doing business as Atelier Digital, you agree to these Terms of Service. If you are using Atelier Studio™ on behalf of a studio, you represent that you have authority to bind that studio.

Platform Role & Marketplace Disclaimer

Atelier Studio™ is a software platform only.

  • Studios provide classes, instruction, and services.
  • End customers contract directly with studios.

Atelier Digital does not control, endorse, or guarantee:

  • Class quality
  • Safety
  • Instructor behavior
  • Refunds or cancellations
  • Studio policies or practices

Any disputes regarding classes must be resolved with the studio directly.

Eligibility

You must be at least 18 years old and able to enter into a binding contract to use Atelier Studio™.

Accounts & Responsibilities

Users agree to:

  • Provide accurate information
  • Keep credentials secure
  • Use the platform only as authorized

Studios are responsible for:

  • All activity under their accounts
  • Obtaining parental consent where required
  • The legality and accuracy of data they upload

Prohibited Activities

You may not:

  • Abuse, spam, or disrupt the platform
  • Reverse engineer or attempt to extract source code
  • Make unauthorized API calls or misuse session tokens
  • Resell or sublicense access
  • Share accounts
  • Circumvent security measures
  • Use the platform for unlawful purposes

Billing, Trials, and Cancellation

  • Subscriptions auto-renew unless cancelled
  • No refunds are provided
  • Upgrades take effect immediately with prorated charges
  • Downgrades take effect at the next billing cycle
  • All new accounts receive a 14-day free trial
  • Payment details must be provided by day 10
  • A 7-day grace period applies for non-payment
  • Accounts are locked after day 21 for non-payment

Suspension & Termination

We may suspend or terminate accounts:

  • For non-payment
  • For abuse or misuse
  • For violations of these Terms

Abusive accounts may be terminated immediately without notice. Payment methods, emails, and IP addresses may be banned.

Data Access After Termination

  • Data is retained for 90 days
  • Only studio owners may export data
  • After 90 days, data is anonymized

Messaging

Atelier Digital uses messaging features including email and text messages in the following contexts:

  • For Atelier Digital to contact studios regarding their account or operations
  • For Atelier Digital to contact studio customers regarding their account
  • For studios to contact their customers regarding their account and bookings
  • For studios to contact their customers for opt-in marketing

10.1 Text Messaging

Atelier Digital makes use of text messaging services to keep individuals informed regarding their bookings and important account information. No marketing is allowed to take place over text messaging on the Atelier Studio™ platform.

Atelier Digital uses technology to best determine how to reach a customer via text message — Short Message Service (SMS), Rich Communication Service (RCS), or WhatsApp. Atelier Digital will respect the user's preference but will always fall back to SMS should the user's preferred method be unavailable.

Message and data rates may apply for all forms of text messaging. All text messaging — whether by SMS, RCS, or WhatsApp, and whether the recipient is a studio or a consumer — is opt-in only. Opting in to receive text messages is not a condition to create or maintain an account.

10.1.1 Studio to Consumer Messaging

Message frequency varies and is dependent on the number of classes booked for a given studio. Messages may come from multiple studios should a consumer have registered classes at multiple studios.

10.1.2 Atelier Digital to Consumer Messaging

Message frequency varies. Atelier Digital will only send messages direct to consumers regarding the security and status of their Atelier account.

10.1.3 Consumer Messaging Opt-Out

Consumers may reply STOP at any time to opt-out of receiving text messages for a studio. Consumers may also update their account at https://my.atelierapp.co/account to select which text messages they do and do not wish to receive on a studio-by-studio basis.

10.1.4 Atelier Digital to Studio Messaging

Message frequency varies. Atelier Digital will only send messages direct to studios regarding the security and status of their Atelier Studio™ account, including but not limited to service interruptions, account security, and account payments.

10.1.5 Studio Messaging Opt-Out

Studio owners may reply STOP at any time to opt-out of receiving text messages from Atelier Digital. Studio owners may also update their account at https://studio.atelierapp.co to manage their notification preferences.

10.1.6 Messaging Limits

There are soft caps on messages sent per month for each plan:

  • Starter: 2,000 text messages per month
  • Standard: 8,000 text messages per month
  • Premium: 20,000 text messages per month

Studio owners will receive the following notifications in their Atelier Studio™ portal account at the following thresholds:

  • 75% of monthly limit: In-app banner viewable by the studio, never shown to customers
  • 90% of monthly limit: In-app banner and email to studio with a call to action to purchase an unlimited add-on pack
  • 100% of monthly limit: In-app banner and email to studio informing the studio owner a small overage will be added to their next month's invoice, or they may purchase the unlimited add-on pack

Pricing for message overages is $0.015 per message over the plan limit. Unlimited messaging add-on pricing may vary. Messages will still be sent if limits are exceeded; Atelier Digital will not block the sending of text messages above the stated limits.

10.1.7 Text Message Types

There are 11 types of text messages that may be sent from a studio to their customers:

  1. Class reminders (1 reminder per booking)
  2. Booking confirmation (1 per booking)
  3. Membership renewal reminder (1 per membership term)
  4. Membership renewal failure (1 per membership renewal attempt, not per failure)
  5. Membership renewal confirmation (1 per membership term)
  6. Waitlist join confirmation (1 per booking)
  7. Waitlist promotion notification (1 per booking)
  8. Waitlist promotion failed due to declined payment (1 per booking)
  9. Class cancellation notice (cancellation by studio, 1 per booking)
  10. Booking cancellation confirmation (cancellation by customer, 1 per booking)
  11. Automatic payment failed (1 per type, sent out when payment failed for committed-term enrollment autopay)

Studio customers can choose to enable all, none, or some of these notifications. They are opt-in only. If a studio chooses to offer text notifications, that is not a guarantee that the message will be sent to the customer — the customer must also opt in to receive it. No marketing messages are allowed to be sent from Atelier Studio™ to a customer.

Limitation of Liability

To the maximum extent permitted by law:

  • Atelier Digital is not liable for indirect, incidental, or consequential damages
  • Total liability is capped at fees paid in the previous three months

Indemnification

Studios agree to indemnify and hold harmless Atelier Digital from claims arising from:

  • Their classes or services
  • End-customer disputes
  • Data they upload
  • Violations of law or these Terms

Dispute Resolution

All disputes shall be resolved by mandatory arbitration, except where prohibited by law.

  • Governing law: Delaware
  • Venue for non-arbitrable disputes: Delaware courts
  • Arbitration will be conducted by a recognized arbitration provider

Modifications

We may update these Terms with notice. Continued use after changes constitutes acceptance.
